KEY INFORMATION — READ BEFORE PROCEEDING

What this Programme is. Masculine Frame is an online physique coaching and educational programme. It includes personalised training programme delivery, general nutrition guidance, access to educational content, and access to the Bear in Studio Intelligence System (BSIS) as a self-directed planning tool. All services are delivered through the Masculine Frame member panel — a proprietary platform built and operated by Bear in Studio Ltd.

The coach is not a certified personal trainer or registered dietitian. Coaching is delivered by the operator of Bear in Studio Ltd on the basis of personal experience and knowledge. No formal fitness certification or dietitian qualification is held. See Section 8 for full disclosure.

Nutrition guidance is general and educational only. The Programme provides macronutrient frameworks and general nutritional principles. It does not include clinical dietary advice and is not suitable for managing medical conditions through diet. See Section 9.

BSIS is a separate software tool — not coaching. Your BSIS account is created automatically when you join the Programme. Your use of BSIS is governed by the separate BSIS End User Agreement, which you must accept at first login. BSIS is an AI-assisted planning tool only; its outputs are not coaching and do not supplement or extend the coaching service.

Your data is stored on a European server. All data associated with your Masculine Frame membership — including coaching data, progress records, and member panel activity — is stored on a server hosted in the European Union (DigitalOcean, LLC, Amsterdam, Netherlands). This is the same infrastructure that hosts your BSIS account.

You must consult a doctor before starting. Before beginning any training programme or making significant dietary changes, consult your GP or an appropriate medical professional, especially if you have any pre-existing health conditions, injuries, or medical concerns.

Your statutory rights are not affected. Nothing in these Terms removes or limits rights you hold under the Consumer Rights Act 2015 or any other applicable law that cannot lawfully be excluded.


PART ONE: THE AGREEMENT

1. Parties and Acceptance

1.1 These Programme Terms and Conditions ("Terms") form a binding legal agreement between you ("Member", "you", "your") and Bear in Studio Ltd, a private limited company registered in England and Wales (company number 14642085), registered office at 39 Goldhawk Road, London, England, W12 8QQ ("Bear in Studio Ltd", "we", "us", "our").

1.2 You accept these Terms by completing the registration and checkout process within the Masculine Frame member panel. Your acceptance is recorded with a timestamp at the point of checkout confirmation. If you do not accept these Terms, you must not enrol in the Programme.

1.3 These Terms govern your Masculine Frame membership as a whole, including the coaching service, educational content, and access to BSIS. Your use of BSIS is additionally governed by the BSIS End User Agreement ("BSIS EUA"), a separate document which you must accept within the BSIS application at first login. In the event of a conflict between these Terms and the BSIS EUA regarding the BSIS software specifically, the BSIS EUA prevails.

2. About Bear in Studio Ltd and This Programme

2.1 Bear in Studio Ltd is a creative and media production company that also provides online physique coaching as a supplementary service. The Masculine Frame Programme is operated by Gokhan Can, director of Bear in Studio Ltd.

2.2 Bear in Studio Ltd is registered with the Information Commissioner's Office (ICO) as a data controller. ICO registration number: [INSERT BEFORE PUBLISHING].


PART TWO: ELIGIBILITY AND MEMBERSHIP

3. Eligibility

3.1 You must be at least 18 years of age to enrol. By accepting these Terms, you confirm you are 18 or older.

3.2 The Programme involves physical training and dietary guidance. It is not suitable for individuals with serious medical conditions, significant injuries, eating disorders, or conditions requiring clinical management. If you have any such condition, you must obtain written medical clearance from your GP before participating.

3.3 By enrolling, you confirm that you are in a reasonable state of physical health to participate in a resistance training programme, that you are not aware of any medical reason that would make such participation inadvisable, and that you accept the inherent risks of physical training described in Section 12.

3.4 Bear in Studio Ltd reserves the right to decline enrolment or suspend membership where it reasonably considers participation unsuitable for a Member, without liability beyond any prepaid amount for the unused portion of the current billing period.

4. Membership

4.1 Your membership begins on the date your payment is confirmed ("Start Date"). You will receive confirmation by email to the address registered to your account.

4.2 Membership is available on a monthly rolling basis or an annual basis, as selected at checkout. The selected billing interval determines the terms applicable to your subscription under Sections 16 to 19.

4.3 Your membership is personal and non-transferable. You must not share your account credentials or grant access to any third party.

5. BSIS Account — Automatic Creation and Synchronisation

5.1 Upon confirmation of your Masculine Frame membership, a Bear in Studio Intelligence System (BSIS) account is automatically created for you. No separate registration is required for BSIS.

5.2 Your BSIS account is synchronised with your Masculine Frame membership status:

(a) while your membership is active, your BSIS account is active;
(b) if your membership is suspended or deactivated for any reason, your BSIS account is simultaneously deactivated — you will not be able to access BSIS during a deactivated period;
(c) if your membership is reactivated, your BSIS account is reactivated at the same time and your prior data remains accessible, subject to the data retention terms in the BSIS EUA.

5.3 Your use of BSIS is governed by the BSIS End User Agreement, available within the BSIS application. You must read and accept the BSIS EUA at your first BSIS login. Continued use of BSIS constitutes acceptance of the BSIS EUA. If you do not accept the BSIS EUA, you must not use BSIS, but your Masculine Frame membership and coaching access continue independently.

5.4 Termination of your Masculine Frame membership terminates your BSIS access. BSIS conversation data is retained for 6 months following termination, after which it is deleted, in accordance with the BSIS EUA. You may request earlier deletion of your BSIS data by contacting hello@bearinstudio.com.


PART THREE: PROGRAMME COMPONENTS

6. What the Programme Includes

6.1 The Masculine Frame Programme includes the following components, all delivered through the Masculine Frame member panel:

(a) Online coaching
Personalised resistance training programme design and delivery through the coaching section of the Masculine Frame member panel. This includes structured weekly programming, exercise instructions, and periodic coach check-ins and written feedback within the panel.

(b) General nutrition guidance
Educational information about macronutrient targets, calorie management, and general dietary principles in the context of physique goals. This does not include personalised clinical meal plans. See Section 9 for the full scope and limitations.

(c) BSIS access
Access to the Bear in Studio Intelligence System as a self-directed AI-assisted planning and logging tool. BSIS is not a coaching service. It is a software tool that may assist you in organising your goals, logs, and plans. See Section 15 and the BSIS EUA for full terms.

(d) Educational content
Access to educational materials, guides, and content produced by Bear in Studio Ltd relating to physique development, training principles, and related topics, as made available through the member panel.

6.2 The components available to you depend on the membership tier selected at checkout. Bear in Studio Ltd reserves the right to update, modify, or add Programme components, provided any material reduction in service is communicated with reasonable advance notice.

7. Coaching Service — Scope

7.1 The coaching service provided through this Programme is online-only, delivered exclusively through the Masculine Frame member panel. There are no in-person sessions of any kind.

7.2 The coaching service includes:

(a) design and delivery of personalised training programmes through the member panel;
(b) periodic check-ins and written feedback on training progress within the panel;
(c) general recommendations relating to training approach, exercise selection, and progression;
(d) general nutrition guidance as described in Section 9.

7.3 The coaching service does not include:

(a) physiotherapy, sports medicine, or injury rehabilitation;
(b) clinical dietary advice or registered dietitian services;
(c) psychological, mental health, or therapeutic support of any kind;
(d) medical diagnosis, assessment, or prescription;
(e) emergency or crisis support — contact appropriate services directly in any emergency;
(f) any guarantee of specific physical, aesthetic, or performance outcomes.

8. Coach Qualifications — Mandatory Disclosure

Read this section carefully before enrolling.

8.1 The coaching delivered through this Programme is provided by Gokhan Can, director of Bear in Studio Ltd, on the basis of his personal experience, self-directed study, and practical knowledge of physique development and resistance training.

8.2 Gokhan Can does not hold a formal certification as a personal trainer, fitness instructor, nutritionist, or healthcare professional. He is not registered with any professional fitness body such as CIMSPA or REPS. He is not a registered dietitian.

8.3 This disclosure is made so you can make a fully informed decision about whether this Programme meets your needs. If you require coaching delivered by a certified and registered fitness professional, you should seek a qualified personal trainer or an appropriate healthcare professional instead.

8.4 Bear in Studio Ltd will deliver the coaching service with reasonable care and genuine effort. This is a lifestyle coaching service based on practical knowledge and experience, not a regulated professional or clinical service.

9. Nutrition Guidance — Scope and Limitations

9.1 Nutrition guidance provided through this Programme consists of:

(a) general educational information about macronutrients, protein, carbohydrates, fats, and their role in body composition;
(b) indicative calorie and macronutrient targets based on your stated goals, activity level, and body metrics as provided by you;
(c) general principles and recommendations relating to food choices, meal timing, and dietary consistency in the context of physique goals.

9.2 Nutrition guidance provided through this Programme does not constitute:

(a) clinical dietetic advice or registered dietitian services;
(b) dietary treatment or management of any medical condition;
(c) therapeutic nutrition for conditions including but not limited to: diabetes, eating disorders, renal disease, cardiovascular disease, gastrointestinal conditions, or any medically managed dietary condition;
(d) diagnosis of any nutritional deficiency or health condition;
(e) prescription-grade supplementation advice.

9.3 If you have any medical condition that requires dietary management, you must consult your GP or a registered dietitian before following any nutrition guidance provided through this Programme. Do not replace medically prescribed dietary advice with the general guidance provided here.

9.4 BSIS AI features may assist you in structuring your own meal plans based on frameworks you input. Any AI-generated meal plan or nutritional suggestion within BSIS is produced automatically and does not constitute dietetic advice. See the BSIS EUA for full terms governing BSIS outputs.

10. Educational Content

10.1 Educational materials included in the Programme are produced by Bear in Studio Ltd. They are for informational and educational purposes only. They do not constitute professional, medical, or clinical advice of any kind.

10.2 Bear in Studio Ltd reserves the right to update, replace, or remove educational content without notice.


PART FOUR: HEALTH AND SAFETY

11. Medical Clearance

11.1 Before beginning the Programme, you must:

(a) confirm that you have no known medical condition, injury, or contraindication that would make resistance training or dietary modification inadvisable;
(b) if you have any doubt about your suitability, obtain written clearance from your GP before starting;
(c) disclose to Bear in Studio Ltd, before beginning and throughout your membership, any injury, health condition, or physical limitation that may affect your ability to train safely.

11.2 You must notify Bear in Studio Ltd promptly if your health status changes during your membership in a way that may affect safe participation.

12. Health, Safety, and Risk Disclaimer

This section is critical. Read it in full.

12.1 Physical training and dietary modification carry inherent risks. These include but are not limited to: musculoskeletal injury, joint strain, cardiovascular stress, adverse reactions to dietary changes, and exacerbation of pre-existing conditions.

12.2 Nothing provided through this Programme — including training programmes, coaching feedback, nutrition guidance, BSIS AI outputs, or educational content — constitutes medical advice, clinical guidance, diagnosis, or treatment. Nothing is a substitute for professional medical care.

12.3 By enrolling, you expressly acknowledge and accept:

(a) that you participate in physical training voluntarily and entirely at your own risk;
(b) that you are solely responsible for evaluating whether any training or dietary recommendation is appropriate for your individual circumstances;
(c) that Bear in Studio Ltd is not a medical professional and cannot provide medical clearance, injury assessment, or clinical guidance of any kind;
(d) that Bear in Studio Ltd accepts no liability for any harm, injury, illness, adverse health outcome, or other loss arising from your participation in the Programme or from decisions you make in connection with it.

12.4 If you experience pain, dizziness, shortness of breath, or any unusual symptom during training, stop immediately and seek appropriate medical attention.

13. No Guarantee of Results

13.1 Physical outcomes from training and dietary programmes vary significantly between individuals. Individual results depend on factors outside Bear in Studio Ltd's control, including genetics, adherence, sleep, stress, pre-existing conditions, and overall lifestyle.

13.2 Bear in Studio Ltd makes no representation, warranty, or guarantee regarding any specific outcome — including body composition, weight, strength, performance, or aesthetic results — from participation in this Programme.

13.3 Any results or transformations referenced in Bear in Studio Ltd's marketing or social media content represent individual experiences and are not typical or guaranteed outcomes.


PART FIVE: THE MEMBER PANEL AND BSIS

14. Masculine Frame Member Panel

14.1 All coaching delivery, progress tracking, check-ins, content access, and membership management are conducted through the Masculine Frame member panel ("Panel"), a proprietary platform built and operated exclusively by Bear in Studio Ltd.

14.2 The Panel is hosted on a server in the European Union (DigitalOcean, LLC, Amsterdam, Netherlands). All data you enter into the Panel — including training progress, check-in responses, health disclosures, and communication with the coach — is stored on this server. See Section 23 for data protection details.

14.3 Bear in Studio Ltd is the sole operator of the Panel. There are no third-party coaching platform providers involved in service delivery. All coaching interaction, content access, and account management takes place within the Panel.

14.4 Bear in Studio Ltd reserves the right to update, maintain, or modify the Panel. Where planned maintenance affects service availability, Bear in Studio Ltd will provide reasonable advance notice where possible. Bear in Studio Ltd is not liable for unplanned service interruptions caused by circumstances beyond its reasonable control.

15. BSIS Application and End User Agreement

15.1 BSIS is a self-directed AI-assisted planning and logging tool. It is not a coaching service. It does not extend, supplement, or replace the coaching provided under this Programme.

15.2 Your use of BSIS is exclusively governed by the BSIS End User Agreement (current version: 3.4, dated 05 July 2026), which must be accepted within the BSIS application at your first login. These Terms do not govern the operation of BSIS or your data rights within it; those are set out in the BSIS EUA.

15.3 Bear in Studio Ltd may update the BSIS EUA independently of these Terms. Changes to the BSIS EUA do not require a corresponding update to these Terms.


PART SIX: PAYMENT AND CANCELLATION

16. Pricing and Payment

16.1 The price of your membership is as displayed at checkout within the Masculine Frame member panel. Prices are stated in pounds sterling (£) and are inclusive of any applicable VAT unless otherwise stated at checkout.

16.2 Payment is processed securely through our integrated payment system at the point of checkout. Bear in Studio Ltd does not store your full payment card details. All payment data is handled by our payment processor under its own security and compliance standards.

16.3 For monthly memberships, your payment card is charged on the same date each month from your Start Date. For annual memberships, the full annual amount is charged at the start of each 12-month period.

16.4 If a payment fails, your membership may be suspended until payment is successfully processed. Bear in Studio Ltd will notify you of payment failures to the email address on your account.

17. Subscription Management

17.1 You may manage your subscription, update payment details, and view billing history within your Masculine Frame member panel account settings.

17.2 It is your responsibility to keep your payment information current. Bear in Studio Ltd accepts no liability for service interruption resulting from payment failure caused by outdated payment details.

18. Your Right to Cancel — 14-Day Cooling-Off Period

18.1 You have the right to cancel this contract within 14 days of your Start Date without giving any reason. This is your statutory right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

18.2 To exercise this right, notify Bear in Studio Ltd clearly within 14 days of your Start Date by emailing hello@bearinstudio.com, stating your intention to cancel. You do not need to give a reason.

18.3 Immediate access and waiver of cancellation right. The Programme begins immediately upon payment confirmation — you receive instant access to the member panel, coaching, BSIS, and all Programme content from your Start Date. By completing checkout and ticking the confirmation box presented at checkout, you expressly request immediate commencement of the Programme and acknowledge that, once the service has been fully performed, you will lose your right to cancel.

For subscriptions (monthly or annual), the service is not fully performed within the cooling-off period. If you cancel within 14 days and have used the service during that period, you will be charged a proportionate amount for the days of access used. The remaining amount will be refunded to your original payment method within 14 days of your cancellation notification.

18.4 If you cancel within 14 days and have not accessed any part of the Programme, a full refund will be issued within 14 days of your cancellation notification.

19. Cancellation After the Cooling-Off Period

19.1 Monthly membership. You may cancel your monthly membership at any time after the 14-day cooling-off period. Cancellation takes effect at the end of your current monthly billing period. You retain full access until that date. No refund is issued for the current billing period already paid.

19.2 Annual membership. You may cancel your annual membership at any time after the 14-day cooling-off period. Cancellation takes effect at the end of your current 12-month billing period. You retain full access until that date. No refund or pro-rata credit is issued for the remaining unused portion of the annual period, except as required by the Consumer Rights Act 2015.

19.3 Cancellation does not delete your account or data immediately. Your account is deactivated at the end of the paid period. BSIS account deactivation occurs simultaneously. Data retention follows the terms set out in Section 22 of these Terms and in the BSIS EUA.

19.4 Cancellation by Bear in Studio Ltd. Bear in Studio Ltd may terminate your membership immediately where:

(a) you materially breach these Terms;
(b) you provide false or misleading health or eligibility information;
(c) continued participation presents a risk to your health or safety or that of others;
(d) Bear in Studio Ltd withdraws or significantly restructures the Programme.

In the event of termination under (c) or (d) without fault on your part, Bear in Studio Ltd will refund a pro-rata amount for the unused prepaid portion of your membership.


PART SEVEN: CONSUMER RIGHTS

20. Consumer Rights Act 2015

20.1 The coaching service and educational content provided under this Programme are subject to the Consumer Rights Act 2015. Services must be performed with reasonable care and skill. Digital content must be of satisfactory quality, fit for purpose, and as described.

20.2 Nothing in these Terms removes or limits your statutory rights under the Consumer Rights Act 2015. If these Terms conflict with your statutory rights, your statutory rights prevail.

20.3 If you believe any service or content provided through this Programme fails to meet the required statutory standards, please contact hello@bearinstudio.com. We will consider your concern and respond within a reasonable time.


PART EIGHT: DATA PROTECTION AND PRIVACY

21. Personal Data We Collect

21.1 In connection with your Masculine Frame membership, Bear in Studio Ltd collects and processes the following categories of personal data through the member panel:

(a) Account and contact data: name, email address, and contact details provided at registration;
(b) Health and fitness disclosures: information you provide about your physical condition, goals, training history, injuries, and relevant health factors during onboarding and coaching;
(c) Coaching and progress data: training programme records, check-in responses, progress updates, and communications with the coach within the panel;
(d) Membership and billing data: subscription status, billing dates, and payment confirmation records (not including full payment card details, which are handled by our payment processor).

21.2 Health and fitness data constitutes special category data under UK GDPR. We process this data on the basis of your explicit consent (Article 9(a) UK GDPR), collected through a dedicated consent mechanism presented during onboarding.

23. Infrastructure and Data Processors

DigitalOcean, LLC (United States — server in Amsterdam, Netherlands, European Union)
All member panel data — including account data, coaching data, health disclosures, progress records, and communications — is stored on a server physically located in Amsterdam, Netherlands, within the European Union. The Netherlands holds UK adequacy status; storing and processing data within the EU does not in itself require additional transfer safeguards.

DigitalOcean, LLC is incorporated in the United States. To address any potential access to data from its US operations, Bear in Studio Ltd relies on the Standard Contractual Clauses incorporated into DigitalOcean's Data Processing Agreement, together with the UK International Data Transfer Addendum, which constitute appropriate safeguards for UK GDPR Chapter V restricted transfers.

DigitalOcean does not access or process your data beyond providing technical hosting services. The Masculine Frame member panel and BSIS run on the same DigitalOcean infrastructure.

Our payment processor
Payment card data and transaction processing are handled by our integrated payment processor. Bear in Studio Ltd does not store your full card details. Payment data is processed under the payment processor's own PCI-DSS compliant systems and privacy terms.

BSIS processors (Google LLC and DigitalOcean LLC)
Data processed within BSIS — including AI conversation data processed by Google LLC — is governed by the BSIS End User Agreement. See the BSIS EUA for details of those processors and transfer mechanisms.

Bear in Studio Ltd does not sell your personal data to any third party.

24. Data Retention

Coaching and membership data is retained for the duration of your membership and for 12 months following termination, to allow for any post-membership queries, disputes, or legal compliance obligations. Financial and accounting records are retained for a minimum of 6 years in accordance with HMRC requirements. You may request deletion of your personal data at any time (see Section 25), subject to applicable legal retention obligations.

25. Your Data Protection Rights

Under UK GDPR, you have the right to: access your personal data; rectify inaccurate data; request erasure in appropriate circumstances; restrict or object to processing; data portability; and withdraw consent at any time. To exercise any right, email hello@bearinstudio.com. We will respond within one calendar month. If you consider your rights have been infringed, you may complain to the Information Commissioner's Office at www.ico.org.uk or 0303 123 1113.


PART NINE: INTELLECTUAL PROPERTY

26. Ownership and Licence

26.1 All Programme content — including training programmes, educational materials, written guides, video content, visual assets, branding, the member panel software and design, and all other materials produced by Bear in Studio Ltd — is the intellectual property of Bear in Studio Ltd or its licensors.

26.2 The Masculine Frame name, logo, and brand identifiers are the intellectual property of Bear in Studio Ltd.

26.3 Your membership grants you a personal, non-transferable, non-exclusive licence to access and use Programme materials for your own personal development and training purposes during your active membership. This licence does not permit you to reproduce, share, distribute, sell, or publish any Programme material without Bear in Studio Ltd's prior written consent.

26.4 Personalised training programmes and nutrition frameworks created for you within the Programme are provided for your personal use only and may not be resold or shared publicly.


PART TEN: LIABILITY AND INDEMNIFICATION

27. Disclaimers

27.1 Subject to Section 28, the Programme is provided on an "as available" basis. Bear in Studio Ltd makes no warranty that participation will result in specific physical outcomes, that training programmes will be error-free, or that the Panel will be uninterrupted.

27.2 The absence of formal coaching qualifications is expressly disclosed in Section 8. No representation of professional certification has been made. The Programme is offered on the basis of personal experience and practical knowledge.

27.3 Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015.

28. Limitation of Liability

28.1 Absolute limits — cannot be excluded:

Nothing in these Terms limits or excludes Bear in Studio Ltd's liability for:

(a) death or personal injury caused by Bear in Studio Ltd's own negligence;
(b) fraud or fraudulent misrepresentation;
(c) breach of statutory obligations under the Consumer Rights Act 2015 that cannot lawfully be excluded;
(d) any other liability that cannot be limited under the law of England and Wales.

28.2 What Bear in Studio Ltd is not liable for:

Subject to Section 28.1, Bear in Studio Ltd is not liable for:

(a) any indirect, incidental, consequential, special, or punitive loss;
(b) physical injury, illness, or adverse health outcomes arising from training or dietary decisions;
(c) any loss arising from inaccurate health disclosures provided by you;
(d) any unplanned interruption to the member panel arising from circumstances beyond Bear in Studio Ltd's reasonable control;
(e) any loss arising from the accuracy of BSIS AI outputs, which are governed by the BSIS EUA.

28.3 Liability cap:

Subject to Section 28.1, and to the extent a cap is fair and lawful under the Consumer Rights Act 2015, Bear in Studio Ltd's total aggregate liability to you for all claims arising under or in connection with these Terms shall not exceed the greater of: (a) the total membership fees paid by you in the three (3) months immediately preceding the event giving rise to the claim; or (b) one hundred pounds sterling (£100).

29. Indemnification

29.1 You agree to indemnify Bear in Studio Ltd, its director(s), employees, and contractors from and against any claims, losses, and costs (including reasonable legal fees) arising from:

(a) your breach of these Terms;
(b) inaccurate or incomplete health or eligibility disclosures;
(c) your participation in training activities in a manner inconsistent with guidance provided or medical advice received;
(d) your violation of any applicable law or third-party right.


PART ELEVEN: SUSPENSION AND TERMINATION

30. Suspension

30.1 Bear in Studio Ltd may suspend your membership immediately and without notice where:

(a) a payment fails and is not resolved within a reasonable period;
(b) you breach these Terms in a material respect;
(c) you provide false health or eligibility information;
(d) your conduct poses a risk to the safety of any person.

30.2 Suspension simultaneously deactivates your BSIS account. Data is preserved during suspension and becomes accessible again upon reactivation.

31. Termination

31.1 Termination rights and consequences are set out in Section 19.4 (termination by Bear in Studio Ltd) and Sections 19.1–19.2 (cancellation by you).

31.2 The following sections survive termination of membership: 8, 12, 13, 21, 24, 26, 27, 28, 29, and 38.


PART TWELVE: GENERAL PROVISIONS

32. Changes to These Terms

32.1 Bear in Studio Ltd may update these Terms from time to time. Updated Terms will carry a revised version number and effective date. Where changes are material, you will be notified by email or within the member panel with reasonable advance notice. Continued use of the Programme following the effective date of updated Terms constitutes acceptance. If you do not accept updated Terms, you must cancel your membership before the effective date.

33. Entire Agreement

33.1 These Terms, together with the BSIS End User Agreement (for BSIS-specific matters), constitute the entire agreement between you and Bear in Studio Ltd regarding the Masculine Frame Programme. They supersede all prior representations, communications, or understandings.

34. Severability

34.1 If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be severed and the remainder shall continue in full force. The parties shall seek a replacement provision achieving, as closely as possible, the same effect.

35. No Waiver

35.1 No failure or delay by Bear in Studio Ltd in exercising any right shall constitute a waiver. A waiver of one breach does not waive future breaches.

36. Assignment

36.1 Bear in Studio Ltd may assign its rights and obligations under these Terms to a successor entity in connection with a business sale or restructure, provided the successor assumes all obligations.

36.2 You may not assign your membership or rights under these Terms to any other person.

37. Force Majeure

37.1 Bear in Studio Ltd shall not be liable for delay or failure to perform obligations where such failure arises from circumstances beyond its reasonable control, including but not limited to: hosting infrastructure outages, internet disruptions, government action, or natural disasters. Bear in Studio Ltd will notify you of any such event and take reasonable steps to restore normal service.

38. Governing Law and Jurisdiction

38.1 These Terms and any dispute arising out of or in connection with them (including non-contractual disputes) are governed by the law of England and Wales.

38.2 The courts of England and Wales have exclusive jurisdiction over disputes arising under these Terms, subject to your right as a consumer domiciled outside England and Wales to bring proceedings in the courts of your country of domicile.
